1. Introduction
Welcome to WAQT. These Terms of Service ("Terms") govern your access to and use of the compliance reminder and deadline tracking services provided by WAQT. By subscribing to or utilizing our services, you enter into a legally binding agreement. Please read these Terms carefully as they significantly affect your legal rights, obligations, and liabilities.
2. Definitions
- "WAQT", "We", "Us", or "Our" refers to the service provider operating remotely from Gujarat, India.
- "Customer", "You", or "Your" refers to the business entity, sole establishment, or freelance-permit holder subscribing to the Services.
- "Services" refers strictly to the compliance deadline tracking and notification reminders detailed in Section 7.
- "Platforms" refers to WhatsApp and email, the primary communication channels utilized by WAQT.
3. Acceptance of Terms
By paying for a subscription, onboarding via our intake forms, or utilizing any WAQT Services, you expressly acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.
4. Eligibility
- Our Services are explicitly designed for solo freelance-permit holders and small trading or e-commerce companies with zero to three employees.
- Eligible businesses typically hold annual revenues ranging from AED 200,000 to AED 3,000,000.
- By using our Services, you warrant that you fall within our supported business scopes and hold the legal authority to bind your entity to these Terms.
5. Right to Refuse Service
WAQT reserves the right, at its sole discretion, to refuse, decline, or restrict service to any individual or entity for any lawful reason. This includes, but is not limited to, situations involving abusive behavior towards our staff, provision of fraudulent or misleading information, requests that fall outside the defined scope of our Services, or legal and sanctions compliance concerns.
6. Description of WAQT
- WAQT operates strictly as a compliance deadline concierge for small UAE businesses.
- We function solely as an accountability layer that sits on top of your existing compliance system.
- WAQT tracks recurring government deadlines over WhatsApp.
- WAQT is NOT an accounting firm, tax consultancy, law firm, audit firm, Public Relations Officer (PRO) service, or bookkeeping company.
7. Scope of Services
- WAQT monitors recurring deadlines for corporate tax, Value Added Tax (VAT), trade license renewals, and applicable e-invoicing phases.
- We provide a running compliance calendar based on the data you supply.
- We issue WhatsApp reminders at T-30, T-14, and T-3 days before each recorded deadline.
8. Service Packages
WAQT provides the following specific packages:
- Solo Tracker: Priced at AED 250 per month.
- The Solo Tracker package is exclusively for freelance-permit holders with no VAT registration.
- The Solo Tracker package includes corporate tax tracking, license renewal tracking, and WhatsApp reminders.
- Small Business: Priced at AED 500 per month.
- The Small Business package is for small trading and e-commerce companies holding VAT and corporate tax registrations.
- The Small Business package includes everything in the Solo Tracker tier, plus VAT return tracking and E-invoicing readiness tracking.
9. Customer Responsibilities
The Customer remains wholly and exclusively responsible for:
- Preparing and organizing all required documentation.
- Filing all legal, tax, and accounting documents.
- Submitting all government forms.
- Filing VAT and Corporate Tax returns.
- Renewing trade licenses.
- Making all tax, penalty, and licensing payments.
- Managing direct communication with UAE government authorities.
- Hiring licensed accountants, tax agents, auditors, lawyers, and PROs.
10. Customer Acknowledgements
You acknowledge that WAQT provides informational reminders only. We explicitly do not prepare documents or file returns. The Customer performs all actual compliance work.
11. Information Accuracy
- To utilize the Services, you must submit an accurate trade license copy, Memorandum of Association (MOA) if relevant, and prior filing confirmations.
- WAQT relies entirely on the accuracy of the documents and revenue figures you provide to calculate deadlines. We bear no liability for missed deadlines resulting from inaccurate, delayed, or incomplete information provided by you.
12. Reminder Service Disclaimer
WAQT utilizes third-party networks to dispatch reminders. We strictly disclaim any liability for late, undelivered, or missed reminders caused by WhatsApp platform outages, internet service disruptions, cellular network failures, or technical errors outside our direct control.
13. Compliance Disclaimer
- WAQT does not replace a licensed UAE auditor, tax agent, or PRO.
- You remain solely responsible for verifying all filings with your own professional advisor.
- We do not guarantee ongoing, historical, or future legal or tax compliance.
14. No Professional Advice
- WAQT provides deadline tracking based strictly on publicly available UAE regulations.
- WAQT does not constitute or provide legal, tax, financial, or accounting advice.
15. No Government Affiliation
- WAQT is an independent private entity and holds no affiliation with the UAE government.
- We do not access or submit filings on EmaraTax, MOHRE, or GDRFA portals.
16. No Guarantee of Compliance
- We explicitly draw attention to the fact that UAE tax penalties operate on a flat 14% annual penalty rate across VAT, excise, and corporate tax, effective since the 14 April 2026 overhaul under Cabinet Decision No. 129 of 2025.
- Corporate tax late-registration carries a fixed AED 10,000 penalty, regardless of whether any tax was owed.
- WAQT provides reminders to assist your internal workflow; however, we expressly disclaim any guarantee that our Services will prevent you from incurring these or any other penalties.
17. Third-Party Services
- Regarding the upcoming e-invoicing mandates, businesses cannot connect directly to government infrastructure and must work through an Accredited Service Provider.
- WAQT may remind you of e-invoicing deadlines, but we accept no liability for the performance, failures, or compliance of any third-party tools, platforms, or Accredited Service Providers you engage.
18. Electronic Consent
By utilizing WAQT, you expressly consent to transact business electronically. You agree that WhatsApp messages, emails, electronic notices, and electronic signatures constitute valid, legally binding communications and records equivalent to physical written documents, satisfying any requirement that such communications be in writing.
19. Communications
- WAQT operates primarily as a WhatsApp-native client service.
- While WhatsApp is our primary channel, WAQT may utilize email for administrative updates, billing, and the transmission of master compliance calendars. Customers are responsible for maintaining an active email address and monitoring their spam/junk folders.
20. Customer Data and Data Retention
- WAQT collects minimal documentation, such as trade licenses, passport copies, and basic financial categorizations.
- WAQT explicitly does not request banking passwords or full financial statements.
- Data Retention: WAQT retains necessary customer data only for the duration of an active subscription to maintain the compliance calendar. Upon termination or cancellation of your subscription, WAQT will retain your data for a maximum period of thirty (30) days for administrative purposes or potential reactivation, after which all sensitive documentation will be permanently and securely deleted from our systems.
21. Privacy
- WAQT treats your documents as sensitive and utilizes dedicated business email systems.
- Our data handling practices are built to respect both UAE data protection laws and India's Digital Personal Data Protection (DPDP) Act.
22. Intellectual Property
All content, proprietary workflows, and compliance calendar templates provided by WAQT remain the exclusive intellectual property of WAQT. Customers are granted a limited, non-transferable license to use these materials solely for internal business compliance tracking.
23. Acceptable Use
Customers must use WAQT's Services professionally and lawfully. You agree to respond to our WhatsApp inquiries promptly and provide truthful documentation purely for your own entity's regulatory readiness.
24. Prohibited Uses
Customers shall not:
- Use WAQT's materials to service third-party businesses.
- Provide fraudulent, altered, or misleading UAE government documents to WAQT.
- Abuse, spam, or harass WAQT personnel via WhatsApp.
- Attempt to hold WAQT out to any government authority as your registered agent.
25. Independent Contractor
WAQT provides the Services exclusively as an independent contractor. Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or franchise relationship between the Customer and WAQT.
26. No Fiduciary Relationship
WAQT does not act as an agent, representative, trustee, employee, or partner of the Customer. We owe no fiduciary duties to the Customer. You maintain full authority and control over your business and its legal compliance.
27. Subscription Terms
- WAQT operates on a monthly subscription billing model.
- Subscriptions automatically renew each month unless expressly canceled in accordance with Section 32.
28. Billing
- WAQT does not utilize per-deadline billing, as this creates payment friction during urgent periods.
- We offer a small discount for quarterly or annual prepayment.
29. Payment Terms
Fees are strictly non-refundable once a billing cycle has commenced. Subscriptions must be paid in full prior to the start of the applicable billing period. We utilize third-party payment gateways for receiving international payments.
30. Late Payments
Failure to remit payment on time will result in an immediate cessation of tracking and reminder services. WAQT accepts no liability for deadlines missed, or penalties incurred, during any period where the Services are suspended due to non-payment.
31. Suspension
WAQT reserves the right to immediately suspend Services without notice if we suspect fraudulent activity, if you violate these Terms, or if you demand services that cross the legal threshold into regulated advisory or agency work.
32. Cancellation Policy
Customers may cancel their subscription at any time by providing written notice via WhatsApp or email prior to the start of the next billing cycle. Cancellation will be effective at the end of the current paid term.
33. Termination
WAQT may terminate this agreement at any time for convenience by providing a 14-day written notice.
34. Refund Policy
Given the nature of the tracking and informational services provided, WAQT does not offer prorated refunds for partial months of service.
35. Modification of Services and Pricing
WAQT reserves the right to revise subscription fees, introduce new pricing plans, discontinue existing plans, modify included features, or change billing structures at its sole discretion. Existing customers will receive at least thirty (30) days' prior written notice before any price increase or material reduction in features affecting their subscription takes effect. Continued use of the Services after the effective date constitutes acceptance of the revised pricing and terms. Customers who do not agree with the revised pricing or changes may cancel their subscription before the new pricing becomes effective.
36. Force Majeure
WAQT shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to internet outages, telecommunication failures, WhatsApp platform disruptions, natural disasters, acts of government, or force majeure events.
37. Availability
While WAQT strives to provide reliable and timely reminder services, we do not guarantee that the Services will be uninterrupted, error-free, or continuously available. Customer support is generally provided during standard UAE business hours; however, reminder notifications may be delivered at different times depending on operational requirements, scheduled reminder timings, and the availability or performance of third-party communication platforms. WAQT shall not be liable for delays, interruptions, or failures in communication caused by circumstances beyond its reasonable control.
38. Customer Duty to Review Reminders
The Customer holds the affirmative duty to promptly read and review all communications and reminders sent by WAQT. WAQT accepts no liability whatsoever for missed deadlines or resultant penalties if the Customer ignores, overlooks, or fails to take corresponding action upon a delivered reminder.
39. Entire Risk
The Customer expressly acknowledges and agrees that the use of WAQT's reminder Services is at their sole and entire risk. WAQT provides a supplementary notification tool, and reliance on these reminders does not absolve the Customer of their independent, legal obligation to monitor and meet government deadlines.
40. No Warranty
Services are provided on an "as is" and "as available" basis. WAQT expressly disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the accuracy of third-party government data.
41. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall WAQT be liable for any direct, indirect, incidental, special, consequential, or punitive damages. This explicitly includes, but is not limited to, government fines (such as the AED 10,000 late registration penalty), loss of profits, business interruption, or regulatory sanctions. WAQT's total cumulative liability under these terms shall not exceed the total fees paid by the customer to WAQT in the three (3) months preceding the claim.
42. Time Limit for Claims
Any claim, dispute, or cause of action arising out of or related to these Terms or the use of the Services must be formally filed within one (1) year after the cause of action accrued. Otherwise, such claim or cause of action is permanently and forever barred.
43. Indemnification
You agree to defend, indemnify, and hold harmless WAQT, its owners, and affiliates from any claims, damages, penalties, fines, liabilities, and expenses arising from your failure to meet government deadlines, your failure to act upon our reminders, or your provision of inaccurate data to us.
44. Release of Liability
By utilizing our compliance reminders, you fully release WAQT from any claims relating to regulatory non-compliance. The Customer performs the compliance work, and WAQT acts solely as an informational tool.
45. Customer Responsibility for Government Deadlines
You explicitly acknowledge that ultimate responsibility for adhering to the UAE compliance calendar rests solely with you and your licensed representatives. WAQT's failure or delay in sending a reminder does not absolve the Customer of their legal duty to file or renew on time.
46. Limitation regarding UAE Government Websites
WAQT is not responsible for the uptime, operational status, user interface changes, or technical failures of EmaraTax, MOHRE, GDRFA, or any other government portals. If a portal failure prevents you from filing, WAQT holds no liability.
47. Errors and Omissions
While WAQT endeavors to accurately relay FTA and MOF announcements, we do not warrant that our summaries are entirely free of errors or omissions. Official government publications always supersede WAQT's communications.
48. Regulatory Changes
UAE laws, regulations, compliance requirements, filing obligations, registration thresholds, government procedures, implementation timelines, and penalty structures may change from time to time without prior notice. WAQT provides compliance reminder and deadline tracking services based on information reasonably available at the relevant time. WAQT does not warrant that all regulatory information, summaries, or reminders will always reflect the most current legal position. Customers remain solely responsible for verifying applicable legal requirements through official UAE government sources or qualified licensed professionals before making compliance decisions or completing any filing, renewal, registration, or payment.
49. Modification of Terms
We reserve the right to update these Terms at our discretion. Any changes will be posted publicly, and your continued use of the Services following an update constitutes your acceptance of the revised Terms.
50. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction from which WAQT operates (India), without regard to its conflict of law provisions, whilst respecting the commercial frameworks relevant to the UAE business landscape where necessary for service delivery.
51. Dispute Resolution
Any disputes arising out of or relating to these Terms shall be resolved through good-faith negotiations. If a resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration in Gujarat, India, in accordance with applicable arbitration rules.
52. Severability
If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
53. Assignment
The Customer may not assign, transfer, or delegate any rights or obligations under these Terms without the prior written consent of WAQT. WAQT reserves the right to freely assign, transfer, or delegate this agreement and any of its rights or obligations hereunder, in whole or in part, to an affiliate, successor company, or third party as part of a corporate reorganization, consolidation, merger, or sale of assets, without prior notice to or consent from the Customer.
54. Entire Agreement
These Terms, along with any written scope of work or intake forms provided during onboarding, constitute the entire agreement between the Customer and WAQT regarding the use of the Services, superseding any prior verbal or written agreements. In the event of any conflict or inconsistency between these Terms and any information presented on the WAQT website, onboarding forms, marketing materials, or prior communications, these Terms of Service shall strictly prevail.
